1. Overview

These SMS/RCS Marketing Terms of Service (the "Terms") govern your participation in the Sumeru SMS, MMS, and Rich Communication Services ("RCS") messaging program (the "Program"), operated by Sumeru Inc., including its subsidiaries and affiliates ("Sumeru," "we," "us," or "our").

By opting in to receive messages from Sumeru, you ("you" or "Subscriber") agree to these Terms. If you do not agree to these Terms, do not opt in to or participate in the Program.

These Terms apply to marketing, promotional, event-related, recruiting, customer relationship, and other permitted business communications sent by or on behalf of Sumeru using SMS, MMS, RCS, or similar mobile messaging technologies.

2. Description of the Program

The Program allows Sumeru to send messages to the mobile phone number you provide, including but not limited to:

  • product, service, or feature announcements;

  • sales, discounts, offers, promotions, and campaign updates;

  • event invitations, confirmations, reminders, and follow-ups;

  • recruiting, customer relationship, and business-development communications;

  • service-related, transactional, or informational communications where permitted by law; and

  • other content related to Sumeru's products, services, events, or business activities.

Messages may be sent using automated technology, including automatic telephone dialing systems or other messaging platforms where permitted by law. RCS messages may include rich media, images, buttons, suggested replies, carousels, links, branding, and other enhanced features. If your device, carrier, or messaging application does not support RCS, messages may be delivered as SMS or MMS.

3. How to Opt In

You may opt in to the Program by submitting your mobile phone number through a Sumeru website form, mobile form, event form, written form, electronic checkbox, keyword response, or other consent mechanism made available by Sumeru, and by affirmatively agreeing to receive SMS, MMS, and/or RCS messages from Sumeru.

By opting in, you confirm that:

  • you are the account holder or authorized user of the mobile number provided;

  • you are 18 years of age or older, or the age of majority in your jurisdiction;

  • the mobile number you provide is accurate and you will notify Sumeru if it changes or is reassigned;

  • you consent to receive messages from Sumeru at the number provided, including marketing messages sent using automated technology; and

  • where applicable, you consent to receive such messages even if the number is listed on a federal, state, or internal Do-Not-Call list.

Consent to receive marketing text messages is not a condition of purchasing or using any Sumeru product or service.

4. Message Frequency and Costs

Message frequency may vary depending on your interactions with Sumeru, the campaigns you join, and the types of communications you consent to receive.

Message and data rates may apply, as determined by your wireless carrier and mobile plan. Sumeru does not charge you for messages sent through the Program, but you are responsible for any carrier, messaging, data, or other charges that may apply.

5. How to Opt Out

You may opt out of marketing messages at any time by replying STOP to any message you receive from Sumeru.

Sumeru will also honor other reasonable opt-out requests, including END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE, OPT OUT, or similar language that reasonably communicates that you no longer wish to receive marketing messages.

After you opt out, we may send you one final confirmation message confirming that you have been unsubscribed. This confirmation message will not contain marketing or promotional content.

We will process opt-out requests within a reasonable time and no later than the time required by applicable law. After your opt-out is processed, you will no longer receive marketing messages from Sumeru unless you opt in again.

For help, reply HELP to any message, or contact Sumeru using the contact information listed in Section 13 below.

7. Supported Carriers, RCS Availability, and Delivery

The Program is available on participating U.S. wireless carriers and messaging platforms. RCS availability depends on your device, carrier, messaging application, network, geographic location, and other technical or provider requirements.

Sumeru is not responsible for delayed, failed, filtered, blocked, or undelivered messages resulting from carrier networks, device compatibility, messaging platform limitations, third-party systems, incorrect phone numbers, recipient settings, or factors outside Sumeru's reasonable control.

Carriers and messaging providers are not liable for delayed or undelivered messages.

8. Third-Party Products, Software, and Service Providers

Sumeru may use third-party products, software platforms, messaging tools, service providers, carriers, aggregators, telecommunications providers, hosting providers, analytics tools, compliance tools, and other technology vendors to send, deliver, manage, personalize, measure, secure, and document SMS, MMS, and RCS communications.

These third parties may process your information on Sumeru's behalf only as needed to provide services to Sumeru, operate the Program, deliver messages, maintain compliance records, manage opt-outs, provide analytics, secure systems, or comply with applicable law.

Sumeru does not authorize such third parties to use SMS/RCS opt-in data, mobile phone numbers, or consent records for their own independent marketing or promotional purposes.

9. Privacy

Your personal information, including your mobile phone number, consent records, message preferences, message delivery status, message interaction data, and related technical information, is collected and used in accordance with Sumeru's Privacy Policy.

Sumeru does not sell, rent, or share SMS/RCS opt-in data, mobile phone numbers, or consent records with third parties or affiliates for their own marketing or promotional purposes.

We may retain consent records, opt-out records, message logs, and related compliance information for as long as necessary to operate the Program, honor opt-out requests, comply with legal obligations, resolve disputes, enforce our rights, and demonstrate compliance.

Please review Sumeru's Privacy Policy for more information about how Sumeru collects, uses, discloses, retains, and protects personal information, and about any privacy rights that may apply to you, including rights available to California residents.

10. Eligibility and Account Termination

The Program is intended for individuals who are 18 years of age or older, or the age of majority in their jurisdiction.

Sumeru may deny, suspend, restrict, or terminate any Subscriber's participation in the Program at any time, with or without notice, if Sumeru reasonably believes that the Subscriber has provided inaccurate information, is not the account holder or authorized user of the number, has engaged in fraudulent, abusive, unlawful, or inappropriate activity, or if continued participation may violate applicable law, carrier rules, messaging platform requirements, or Sumeru policy.

11. Changes to the Program and These Terms

Sumeru may modify, suspend, or discontinue the Program, in whole or in part, at any time.

Sumeru may update these Terms from time to time. Updates will be effective when posted on this page with a revised "Last Updated" date, unless a different effective date is stated. Your continued participation in the Program after updated Terms are posted constitutes your acceptance of the updated Terms.

If you do not agree to updated Terms, you must opt out of the Program.

12. Disclaimer of Warranties; Limitation of Liability

The Program is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Sumeru disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted or error-free operation.

To the fullest extent permitted by applicable law, Sumeru, its affiliates, officers, directors, employees, contractors, agents, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages arising out of or related to the Program, including delayed, blocked, filtered, failed, or undelivered messages.

Nothing in these Terms limits any rights or remedies that cannot be limited or waived under applicable law.

13. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent federal law applies or applicable law gives you non-waivable rights in another jurisdiction.

Any dispute arising out of or relating to these Terms or the Program will be handled in accordance with applicable law and any dispute-resolution terms that may separately apply between you and Sumeru. Nothing in these Terms limits your right to exercise non-waivable consumer, privacy, or telecommunications rights under applicable law.

Sumeru may add arbitration, class-action waiver, venue, or other dispute-resolution language after legal review. If such language is added, it should be reviewed for compliance with federal law, California law, and any other applicable state law before publication.
